1. Introduction and Acceptance of Terms

Welcome to DevOps Service OÜ, a limited liability company registered in Estonia, EU (Registration Number: 16630921). These Terms of Service ("Terms") govern your use of our DevOps consulting and infrastructure automation services.

By engaging our services, submitting a project inquiry, or signing a service agreement with DevOps Service OÜ, you ("Client," "Customer," or "you") acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and any additional service-specific agreements.

If you do not agree with these Terms, please do not engage our services. These Terms constitute a legally binding agreement between you and DevOps Service OÜ.

2. Scope of Services Offered

DevOps Service OÜ provides DevOps-as-a-Service solutions to B2B clients internationally, including but not limited to:

  • Cloud Infrastructure Setup: AWS, Microsoft Azure, Google Cloud Platform (GCP), and other cloud providers
  • CI/CD Pipeline Development: Continuous integration and deployment pipeline design and implementation
  • Infrastructure as Code (IaC): Terraform, CloudFormation, Ansible, and other automation tools
  • Monitoring and Observability: Application and infrastructure monitoring solutions
  • Container Orchestration: Docker, Kubernetes, and container management
  • Security and Compliance: DevSecOps practices and compliance frameworks
  • Training and Knowledge Transfer: Team training and documentation
  • Ongoing Support: Maintenance, optimization, and technical support

Services may be delivered as one-time projects, ongoing retainer agreements, or custom service packages as defined in individual statements of work or service agreements.

All services are provided on a business-to-business (B2B) basis to commercial entities, government organizations, and professional clients.

3. Client Responsibilities

To ensure successful service delivery, clients are responsible for:

  • Access and Credentials: Providing timely access to necessary systems, platforms, and credentials
  • Requirements Definition: Clearly communicating project requirements, objectives, and constraints
  • Timely Communication: Responding to requests for information, feedback, and approvals within agreed timeframes
  • Resource Availability: Ensuring availability of internal team members for collaboration and knowledge transfer
  • Compliance: Ensuring all activities comply with your organization's policies and applicable regulations
  • Data Backup: Maintaining appropriate backups of critical data and systems
  • Payment: Making payments according to the agreed terms and schedule
  • Testing and Approval: Testing deliverables and providing approval or feedback in a timely manner

Failure to fulfill these responsibilities may result in project delays, additional costs, or service limitations, for which DevOps Service OÜ cannot be held liable.

4. Quotes, Payments, and Billing Terms

Quotes and Pricing:

  • All quotes are valid for 30 days unless otherwise specified
  • Pricing may be structured as fixed-price projects, hourly rates, or custom retainer agreements
  • Additional work beyond the original scope will be quoted separately
  • All prices are exclusive of applicable taxes (VAT, etc.)

Payment Terms:

  • Payment terms are typically Net 30 days from invoice date unless otherwise agreed
  • For projects exceeding €5,000, a 50% deposit may be required before work commencement
  • Monthly retainer agreements are billed in advance
  • Late payments may incur interest charges of 1.5% per month
  • Suspended services due to non-payment may incur reactivation fees

Accepted Payment Methods:

  • Bank transfer (SEPA/International wire)
  • Payment terms and methods will be specified in individual service agreements

5. Limitation of Liability and Warranties Disclaimer

Service Warranty:

DevOps Service OÜ warrants that services will be performed with professional skill and care in accordance with industry standards. We will remedy any non-conforming services at no additional cost when notified within 30 days of delivery.

Disclaimer:

EXCEPT AS EXPRESSLY SET FORTH HEREIN, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability:

  • DevOps Service OÜ's total liability shall not exceed the amount paid by client in the 12 months preceding the claim
  • We are not liable for indirect, consequential, special, or punitive damages
  • Client assumes responsibility for data backup and disaster recovery planning
  • We are not liable for damages resulting from client's failure to follow recommendations
  • Force majeure events (natural disasters, government actions, etc.) are excluded from liability

6. Intellectual Property Rights

Client-Specific Work:

  • Custom configurations, scripts, and documentation created specifically for client belong to the client
  • Client grants DevOps Service OÜ license to use during service delivery
  • Client retains ownership of their data, applications, and business logic

DevOps Service OÜ Intellectual Property:

  • Our methodologies, tools, templates, and general knowledge remain our property
  • Pre-existing intellectual property and improvements thereto remain ours
  • We may use general knowledge and experience gained for other clients

Third-Party Software:

Client is responsible for obtaining necessary licenses for third-party software, tools, and platforms. DevOps Service OÜ may recommend solutions but client must ensure compliance with all licensing terms.

7. Confidentiality and Data Protection

Confidentiality:

Both parties agree to maintain confidentiality of proprietary information, trade secrets, and sensitive business information disclosed during the engagement. This obligation survives termination of services.

GDPR Compliance:

  • DevOps Service OÜ complies with the EU General Data Protection Regulation (GDPR)
  • We process personal data only as necessary for service delivery
  • Separate Data Processing Agreements (DPA) may be required for certain engagements
  • Data subject rights (access, portability, deletion) are respected as required by law
  • Data breaches will be reported according to GDPR requirements

Data Security:

  • We implement appropriate technical and organizational security measures
  • Access to client systems is limited to authorized personnel
  • We use secure communication channels and encrypted data transmission
  • Regular security assessments and updates are performed

8. Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Estonia and the European Union, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the services provided shall be subject to the exclusive jurisdiction of the courts of Tallinn, Estonia. However, DevOps Service OÜ reserves the right to seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.

For clients within the European Union, applicable EU consumer protection and business regulations shall also apply where relevant.

9. Changes to Terms

DevOps Service OÜ reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website or as otherwise communicated to clients.

For existing service agreements, material changes will be communicated at least 30 days in advance via email to the client's registered contact address. Continued use of our services after such notice constitutes acceptance of the modified terms.

Clients who do not agree to modified terms may terminate services according to the termination provisions in their individual service agreements.
